Executive Summary
We are seeking a seasoned, results-oriented Chief Financial Officer (CFO) to join the executive team of a leading Malaysian Manufacturing and Trading company. This is a strategic leadership role with the primary mandate to successfully lead and execute the company's Initial Public Offering (IPO) on Bursa Malaysia and subsequently establish the financial governance and reporting frameworks required for a publicly listed entity. The ideal candidate must possess deep technical accounting expertise, proven capital market experience, and the ability to drive commercial and operational performance across the manufacturing and trading value chain.
Key Responsibilities
1. IPO Planning and Execution (Primary Mandate) 🚀
IPO Readiness: Lead the entire IPO project from preparation to listing, including financial restructuring, establishing corporate governance structures, and ensuring compliance with the Bursa Malaysia Main Market Listing Requirements (MMLR) and the Securities Commission (SC).
Adviser Management: Serve as the central point of contact and coordinate the efforts of all external parties involved in the IPO, including investment banks, underwriters, legal counsel, Reporting Accountants, and external auditors.
Financial Documentation: Oversee the preparation and review of the Prospectus, Accountant's Report, Pro Forma Financial Statements, and Working Capital Sufficiency Statement, ensuring accuracy and full disclosure.
Investor Relations (Pre-IPO): Develop the initial financial narrative and presentation strategy for the company, supporting roadshows and engaging with potential institutional investors and analysts.
2. Strategic Financial and Commercial Leadership
Business Partnering: Function as a strategic advisor to the Group CEO and departmental heads (Manufacturing, Sales, Procurement), providing insights into margin analysis, cost optimization, capital expenditure (CAPEX) allocation, and pricing strategies for manufacturing and trading operations.
P&L and Performance Management: Implement robust financial planning & analysis (FP&A) functions, including budgeting, forecasting, and detailed variance analysis to drive accountability and profitability across the Group.
Manufacturing/Costing: Oversee and enhance product costing models, inventory valuation, and supply chain finance processes to ensure accurate gross margin reporting and cost control.
3. Financial Control, Reporting, and Governance
Financial Reporting: Lead the preparation of timely and accurate monthly, quarterly, and annual consolidated financial statements in compliance with MFRS/IFRS.
Internal Controls: Design, implement, and rigorously enforce effective internal controls over financial reporting (ICFR) and Group-wide Standard Operating Procedures (SOPs) to ensure operational integrity pre- and post-listing.
Treasury and Tax: Manage Group treasury functions, cash flow optimization, working capital management, and lead strategic tax planning and compliance efforts (corporate tax, transfer pricing, indirect tax).
Qualifications and Experience
Education: Bachelor's degree in Accounting, Finance, or equivalent.
Professional Qualification: Must be a Chartered Accountant (CA) and a Member of the Malaysian Institute of Accountants (MIA) (or equivalent professional body like ACCA/CPA).
Experience:
Minimum 15 years of progressive experience in finance and accounting, with at least 5 years serving as a CFO, Group Financial Controller, or Head of Corporate Finance for a sizable organization.
Proven track record of successful IPO leadership or significant involvement (Reporting Accountant, Due Diligence Lead) for a listing on Bursa Malaysia (MMLR), SGX, or HKEX.
Strong operational finance experience, particularly in the Manufacturing and Trading/Supply Chain sectors.
Demonstrated experience with M&A, fund-raising (debt/equity), and corporate restructuring exercises.
Leadership Skills: Exceptional integrity, leadership, negotiation, and communication skills, with the ability to lead multi-functional teams and effectively present complex financial data to the Board and external stakeholders.
