Senior Manager - Corporate Finance
Reporting To: Group CFO
Roles & Responsibilities
The Senior Manager will be responsible for leading and executing the company's corporate strategy, specializing in mergers, acquisitions, financial restructuring, and regulatory compliance.
Corporate Strategy & Valuation
- To conduct feasibility studies and prepare corporate proposals in line with the corporate strategy. 
- To prepare and conduct valuation of target companies using various methodologies, including financial models and projections. 
- To prepare merger and acquisition structuring models, financial restructuring, and financial models including pre & post business models, cashflows, Profit & Loss and balance sheets, and financial impact to the group results for purposes of valuation and due diligence. 
Execution & Documentation
- To formulate schemes for corporate exercises, which includes negotiating for the best terms and structure in accordance with legal and regulatory compliance. 
- To highlight and resolve issues relating to the proposals, as well as to provide solutions or recommendations. 
- To prepare a comprehensive paper for the presentation to EXCO or the board. 
- To draft, review, and finalize all documents related to proposals, including detailed presentation materials, board papers, legal documents, shareholder announcements, and circulars, ensuring accuracy, clarity, and compliance with regulatory requirements. 
- To ensure corporate exercise activities are implemented pertaining to the agreed terms and structure till completion. 
Regulatory Compliance & Coordination
- To update and ensure all corporate finance activities are implemented in compliance with new requirements of Bursa Malaysia, Securities Commission, and other regulatory/statutory requirements. 
- To coordinate activities with internal cross-functional teams and relevant professional parties and authorities, including investment bankers, lawyers, company secretaries, auditors, and tax advisors. 
Qualification & Requirements
- Education: Bachelor's Degree in Accountancy or an equivalent professional qualification. 
- Experience: 8 to 10 years of professional experience, with at least 5 years in corporate finance within a Public Listed Company (PLC), or a Big Four audit firm. 
- Language: Must be able to read and speak Mandarin, to liaise with Mandarin-speaking stakeholders and review financial documents in Mandarin. 
- Technical Skills: Strong financial modeling, valuation, and analytical skills with expertise in structuring corporate finance and investment proposals. 
- Communication: Excellent writing and presentation skills, capable of developing board-level documents and presentation paper. 
- Personal Attributes: Highly proactive with a strong ability to thrive in a dynamic, fast-paced environment and drive results effectively. 
- Stakeholder Management: Exceptional interpersonal and communication skills, with the ability to build relationships across all levels and manage diverse stakeholders effectively.
