Position Overview
The Regional M&A Manager acts as a strategic architect for the Group’s inorganic growth, bridging corporate strategy with operational execution. You will lead cross-border transactions across Southeast Asia, identifying high-growth targets and securing project opportunities that align with our long-term regional vision.
Key Responsibilities
1. Deal Origination & Strategic Pipeline Management
Lead the identification, screening, and mapping of business targets across SEA to expand into new markets.
Liaise with investment banks and external advisors to maintain a robust pipeline of potential M&A opportunities.
Conduct deep-dive industry research to identify growth drivers and competitive threats within target jurisdictions.
2. Financial Modeling & Valuation
Build and refine sophisticated Discounted Cash Flow (DCF), comparable company, and precedent transaction models.
Analyze capital structures and project funding requirements to assess investment feasibility and ROI.
Assess topline and bottom-line synergies, evaluating the impact of acquisitions on the Group’s ROIC and EPS.
3. Deal Execution & Due Diligence Oversight
Manage the end-to-end transaction process, including deal structuring, drafting terms sheets, and negotiating Enterprise Value.
Oversee high-quality Financial Due Diligence (FDD), coordinating with tax, legal, and operational workstreams to identify potential "deal breakers".
Ensure all transactions comply with internal governance, local regulatory requirements (e.g., SC Malaysia, Securities Law Vietnam), and international standards.
4. Post-Merger Integration (PMI) & Value Realization
Design and execute integration strategies to ensure combined entities operate as a cohesive organization.
Provide strategic insights to functional leads (HR, IT, Finance) to minimize disruption and deliver intended deal value.
Monitor performance against the business case post-acquisition to ensure value realization.
Ideal Candidate Requirements
Education: Master’s or Bachelor’s degree in Accounting, Finance, or Economics from a top-tier institution.
Professional Qualification: Mandatory professional membership (e.g., Chartered Accountant/MIA/CPA) or CFA.
Experience: 7+ years of solid M&A experience. Foundational training in a Big 4 Deals/Corporate Finance team or Investment Bank is essential.
Market Exposure: Proven track record in executing complex, high-value cross-border transactions specifically within the SEA region.
Technical Skills: Expert proficiency in financial research tools (Bloomberg, Capital IQ) and data visualization tools (Power BI, Tableau).
Communication: Exceptional ability to translate complex financial information into clear strategic recommendations for top management.
Languages: Fluency in English is required; proficiency in Mandarin or other SEA languages is a significant advantage.
