• Advise the Board and senior management on corporate governance best practices, statutory obligations, and regulatory compliance.
• Organise and coordinate board and committee meetings, including preparation of agendas, board papers, and accurate minutes.
• Maintain statutory registers, company records, and ensure timely filing with relevant authorities (e.g, CCM, Bursa Malaysia).
• Support the execution of board resolutions and ensure compliance with shareholder agreements and corporate policies.
• Lead the corporate secretarial team and manage company secretarial matters for the group and its subsidiaries.
• Liaise with regulators, legal advisor, and stakeholders on governance matters.
• Ensure timely disclosure and communication of material corporate developments.
• Manage and oversee corporate exercises such as AGMs, EGMs, mergers, acquisitions, and restructuring.
